4. Client Responsibilities

6. Intellectual Property

6.2 Client Work & Deliverables

Ownership of deliverables (e.g., ads, designs, campaigns) will be defined in individual Service Agreements.

Unless otherwise stated:

  • Affari Project retains ownership of proprietary methods, strategies, and frameworks
  • Clients are granted a license to use deliverables upon full payment
7. Payments and Fees
  • Fees are outlined in Service Agreements or invoices
  • Payments must be made according to agreed terms
  • Late payments may result in:
    • Suspension of services
    • Late fees (if applicable)

All payments are non-refundable unless otherwise specified in writing.

8. No Guarantee of Results

Marketing outcomes depend on external factors beyond our control. We do not guarantee:

  • Specific ad performance results
  • Search engine rankings
  • Lead volume or revenue increases

Past performance does not guarantee future results.

9. Third-Party Platforms

Our services may involve third-party platforms such as:

  • Google
  • Meta (Facebook/Instagram)
  • LinkedIn
  • Email marketing tools

We are not responsible for:

  • Platform outages or errors
  • Account suspensions due to policy violations
  • Changes to platform algorithms or policies

Clients are responsible for complying with all platform terms.

10. Data & Privacy

Use of our services is also governed by our Privacy Policy.

When managing marketing campaigns, we may process data on your behalf. In such cases:

  • You remain the data controller
  • We act as a data processor
11. Confidentiality

Both parties agree to maintain the confidentiality of proprietary or sensitive information shared during the course of services.

This obligation survives termination of services.

12. Limitation of Liability

To the fullest extent permitted by law:

  • Affari Project is not liable for indirect, incidental, or consequential damages
  • Our total liability is limited to the amount paid for services in the preceding 3 months
13. Indemnification

You agree to indemnify and hold harmless Affari Project from any claims arising from:

  • Your use of our services
  • Content you provide
  • Violations of laws or third-party rights
14. Service Suspension & Termination

14.1 By Affari Project

We may suspend or terminate services if:

  • Terms are violated
  • Payments are not made
  • Illegal, unethical, or harmful activity is detected

14.2 By Client

You may terminate services per the terms outlined in your Service Agreement.

No refunds will be issued unless explicitly stated.

15. Force Majeure

We are not liable for delays or failures caused by events beyond our control, including:

  • Natural disasters
  • Internet or platform outages
  • Government actions
16. Dispute Resolution

In the event of a dispute:

  1. Parties agree to attempt informal resolution first
  2. If unresolved, disputes may proceed to mediation or arbitration (if agreed)
  3. Legal proceedings will occur in the jurisdiction specified below
17. Governing Law

These Terms shall be governed by the laws of Wyoming, without regard to conflict of law principles.

18. Changes to Terms

We reserve the right to update these Terms at any time. Updates will be posted with a revised “Last Updated” date.

Continued use of our Services constitutes acceptance of the updated Terms.
